What is a Registered Agent?

A registered agent, per  Florida Statute Section 607.0501 is the person that will accept service of process on behalf of a business entity. The registered office is the address where the registered agent is located during normal business hours. The registered office address must be a Florida street address. A post office box is not acceptable.

 

The registered agent may be an individual or another business entity with an active Florida filing on record. A business entity cannot serve as its own registered agent. 

 

As your registered agent, we automatically accept your official state and legal mail and place it in your mailbox. Sometimes, however, we receive personal or business mail from clients or companies trying to connect with your business. We DO NOT accept this kind of mail for you. Personal and Business mail should be directed to your physical or virtual mailbox. If you don't have either one, we can help you set one up here at 2B POSTAL, or online with a virtual mailbox.

 

We charge $99 per year, per business name for Registered Agent Services.

 

We can forward your mail for $5.50 plus the cost of postage. With a credit card on file. If you have a virtual mailbox with us, all you have to do is choose the item you want forwarded in your account and choose either consolidate/ship, ship, forward or add to shipment depending on the options once all mail you want forwarded is selected.

 

Finally, once a year your Annual Report will be due to be filed with the state through Sunbiz.org. We will send you a reminder when this is due.

 

The Florida annual report is a report you’ll file by May 1st each year to keep your company’s information up to date on the state’s records. The Florida annual report filing fee currently is $138.75 for Florida LLCs and $150 for Florida corporations. 

 

Late Fees: Florida LLCs, corporations, LPs, and LLPs—foreign and domestic—must pay a $400 late fee for failing to file an annual report on time. Nonprofits are not subject to late fees. However, all businesses will be administratively dissolved if their annual report has not been filed by the third Friday of September.
